Welcome to SpeechTypr. By downloading, installing, or using this application, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the application.

1. Acceptance of Terms

These Terms of Use constitute a legally binding agreement between you (the "User") and Matthew ORBECK (the "Publisher") regarding your use of SpeechTypr. By using the application, you acknowledge that you have read, understood, and agree to be bound by these terms.

2. Description of Service

SpeechTypr is a desktop application for Windows that provides audio transcription services, converting speech to text in real-time. The application also offers AI-powered features to format transcriptions in various ways (emails, code, etc.) using third-party artificial intelligence services.

3. License and Usage Rights

3.1 Grant of License

Subject to your compliance with these Terms, the Publisher grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use SpeechTypr for personal or commercial purposes.

3.2 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the application
  • Modify, adapt, or create derivative works of the application
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Distribute, sublicense, lease, rent, loan, or sell the application
  • Use the application to develop a competing product or service
  • Attempt to gain unauthorized access to any part of the application

4. Third-Party API Services

4.1 Your Responsibility

SpeechTypr's AI features require you to provide your own API keys for third-party services such as Google Gemini and OpenAI (ChatGPT). You are solely responsible for:

  • Obtaining and maintaining valid API keys
  • All costs and fees associated with API usage
  • Compliance with the terms of service of these third-party providers
  • Any data transmitted to these services through your API keys
  • Security and confidentiality of your API keys

4.2 No Publisher Liability

The Publisher is not responsible for any charges, rate limits, service interruptions, data handling, or privacy practices of third-party API providers. You acknowledge that data transmitted to these services is subject to their respective privacy policies and terms of service.

4.3 Compliance Required

You must comply with all terms, conditions, and policies of the third-party services you connect to SpeechTypr. Any violation of their terms may result in suspension or termination of your access to those services, for which the Publisher bears no responsibility.

5. Prohibited Uses

You agree not to use SpeechTypr for any unlawful or prohibited purpose, including but not limited to:

  • Illegal Activities: Any activity that violates local, national, or international laws
  • Harassment or Abuse: Creating content intended to harass, threaten, or abuse any person or group
  • Spam or Mass Communications: Generating bulk unsolicited messages or automated spam
  • Malicious Content: Creating malware, viruses, or any harmful code
  • Intellectual Property Violation: Infringing on copyrights, trademarks, or other intellectual property rights
  • Harmful or Illegal Content: Creating content that is defamatory, obscene, pornographic, or promotes violence
  • Misrepresentation: Using the application to impersonate others or misrepresent your identity
  • Circumvention: Attempting to bypass any security features or limitations of the application

6. Content Ownership and Responsibility

6.1 Your Content

You retain all ownership rights to the content you create using SpeechTypr, including transcriptions and AI-generated text. However, you are solely responsible for the content you create, including its accuracy, legality, and appropriateness.

6.2 AI-Generated Content

Content generated by AI features may be inaccurate, inappropriate, or incomplete. You are responsible for reviewing and verifying all AI-generated content before using it for any purpose. The Publisher makes no warranties regarding the accuracy or quality of AI-generated content.

6.3 No Publisher Access

All content created using SpeechTypr is stored locally on your device. The Publisher does not have access to, does not store, and does not monitor your content.

7. Free Service and Future Changes

7.1 Current Free Access

SpeechTypr is currently provided free of charge. However, the Publisher reserves the right to introduce paid features, subscription models, or modify the pricing structure at any time with reasonable notice.

7.2 No Guarantee of Availability

The Publisher does not guarantee that SpeechTypr will always be available or that it will remain free. The application may be modified, suspended, or discontinued at any time without prior notice or liability.

8. Updates and Modifications

The Publisher may release updates, patches, or new versions of SpeechTypr at any time. These updates may include bug fixes, new features, or changes to existing functionality. You are encouraged to keep the application updated to the latest version. The Publisher is not obligated to provide updates or support for older versions.

9. Disclaimer of Warranties

SPEECHTYPR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the application will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of transcriptions
  • Warranties regarding the quality of AI-generated content

You acknowledge that you use SpeechTypr at your own risk. The Publisher does not warrant that the application will meet your requirements or expectations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PUBLISHER SHALL NOT BE LIABLE FOR:

  • Any direct, indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs incurred from third-party API services
  • Damages resulting from transcription errors or inaccuracies
  • Damages caused by AI-generated content
  • Damages resulting from unauthorized access to your device or data
  • Any other damages arising from your use or inability to use the application

The total liability of the Publisher for any claim related to SpeechTypr shall not exceed the amount you paid for the application (currently zero).

11. Indemnification

You agree to indemnify, defend, and hold harmless the Publisher from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of SpeechTypr, (b) your violation of these Terms, (c) your violation of any third-party rights, including intellectual property or privacy rights, (d) content you create using the application, or (e) your use of third-party API services.

12. Termination

12.1 By You

You may stop using SpeechTypr at any time by uninstalling the application from your device.

12.2 By the Publisher

The Publisher reserves the right to suspend or terminate your access to SpeechTypr at any time, with or without cause, and with or without notice. This includes situations where you violate these Terms or engage in prohibited uses.

12.3 Effect of Termination

Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will remain in effect.

13. Privacy

Your use of SpeechTypr is also governed by our Privacy Policy, which explains how we handle data. By using the application, you acknowledge that you have read and understood our Privacy Policy.

14. Changes to Terms

The Publisher reserves the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting on this page with an updated "Last updated" date. Your continued use of SpeechTypr after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

15. Governing Law and Disputes

15.1 Applicable Law

These Terms shall be governed by and construed in accordance with applicable local laws, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of SpeechTypr shall be resolved in the competent courts with jurisdiction over the Publisher's location.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms of Use, together with the Privacy Policy and Legal Notices, constitute the entire agreement between you and the Publisher regarding SpeechTypr and supersede all prior agreements and understandings.
